NOTICE TO USERS:

These Terms of Service constitute a legally binding agreement between you and Baba Magic LLC. By accessing or using our application, you agree to be bound by these terms. Please read carefully.

1. Acceptance of Terms

By downloading, accessing, or using the "baba" mobile and web application ("App"), provided by Baba Magic LLC, a Wyoming Limited Liability Company with a registered address at 30 N Gould St Ste N, Sheridan, WY 82801 ("Company," "we," "us," or "our"), you ("you," "your," or "User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not access or use the App.

IMPORTANT NOTICE FOR U.S. USERS: THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 15. THESE PROVISIONS AFFECT YOUR RIGHTS TO RESOLVE DISPUTES WITH US. PLEASE READ THEM CAREFULLY.

2. Description of Service

The baba App is an English-Hebrew translation application powered by artificial intelligence (AI), including large language models (LLMs) and other advanced translation technologies. The App provides text and image-based translation services with contextual adaptations, particularly regarding grammatical gender from English to Hebrew.

2.1 AI-Powered Service Disclosures

You acknowledge and understand that:

AI Limitations: The App uses AI technology that, while advanced, may produce translations that are inaccurate, incomplete, biased, offensive, or inappropriate. AI translation is not perfect and should not be relied upon for critical, medical, legal, or safety-critical communications.
No Human Review: Translations are generated automatically by AI systems without human review or verification.
Continuous Improvement: Our AI models are continuously evolving and improving. Translation quality may vary and improve over time.
Not Professional Services: The App does not provide professional translation, interpretation, legal, medical, or other professional services. Always verify important translations with qualified professionals.
Contextual Errors: AI may misinterpret context, nuance, idioms, slang, or cultural references, potentially leading to misunderstandings.
Harmful Content Detection: While we implement safety protocols to prevent the dissemination of harmful, illegal, or inappropriate content, our AI systems may not catch all such content. If you encounter harmful outputs, please report them to us immediately at support@itsbaba.com.

3. User Accounts and Eligibility

3.1 Account Creation

To access certain features of the App, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Age Requirements

The App is intended for general audiences. While we do not impose strict age restrictions, users under the age of 13 (or the applicable age of digital consent in your jurisdiction, which may be 16 in certain countries such as those in the European Economic Area) should use the App only with parental or guardian consent and supervision.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your account. You agree to immediately notify us at support@itsbaba.com of any unauthorized use, or suspected unauthorized use, of your account or any other breach of security.

4. Subscriptions and Payments

4.1 Subscription Plans

The App offers various subscription plans that provide access to premium features. Subscription plans, pricing, features, and billing cycles are described within the App and are subject to change.

4.2 Free Trials

We may offer free trial periods for certain subscription plans. At the end of any free trial period, your subscription will automatically convert to a paid subscription at the then-current rate for the plan you selected, and you will be charged unless you cancel before the trial period ends.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period (weekly, monthly, or annually, depending on your selected plan) unless you cancel before the renewal date. You authorize us to charge your payment method on file at the start of each billing period.

4.4 Payment Processing

All payments are processed through the Apple App Store or Google Play Store, as applicable. Your payment relationship is governed by your agreement with Apple or Google, in addition to these Terms. We use RevenueCat as our subscription management service.

4.5 Price Changes

We reserve the right to change our subscription pricing at any time. Price changes will be communicated to you in advance and will apply to subsequent billing periods after you have been notified. Your continued use of the App after a price change constitutes acceptance of the new pricing.

4.6 Refunds and Cancellations

Cancellation: You may cancel your subscription at any time through your Apple App Store or Google Play Store account settings. Cancellations must be made at least 24 hours before the end of the current billing period to avoid being charged for the next period.

Refunds: All payments are generally non-refundable except as required by applicable law or the policies of Apple or Google. Refund requests must be submitted directly to Apple or Google through their respective platforms.

No Refunds for Partial Periods: If you cancel your subscription, you will continue to have access to premium features until the end of your current billing period, but you will not receive a prorated refund for any unused portion.

5. User Conduct and Restrictions

5.1 Lawful Use

You agree to use the App only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Conduct

You agree not to:

Use the App in any manner that could disable, overburden, damage, or impair the App or interfere with any other party's use of the App
Use any robot, spider, scraper, or other automatic device, process, or means to access the App for any purpose, including monitoring or copying any of the material on the App
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the App, the server on which the App is stored, or any server, computer, or database connected to the App
Use the App to transmit any viruses, worms, defects, Trojan horses, malware, or other items of a destructive nature
Use the App for any commercial purpose or the benefit of any third party without our prior written consent, except as specifically allowed in these Terms
Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, underlying algorithms, or architecture of the App
Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices on or within the App
Violate any applicable local, state, national, or international law, regulation, or treaty
Upload, submit, or transmit through the App any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy
Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity
Attempt to manipulate, abuse, or exploit our AI systems or engage in prompt injection attacks
Use the App to generate content that violates the rights of others or applicable laws

11. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

AI-SPECIFIC DISCLAIMERS: TRANSLATION IS AN INEXACT SCIENCE, AND AI TECHNOLOGY IS CONTINUOUSLY DEVELOPING. THE APP MAY PRODUCE INACCURATE, INCOMPLETE, BIASED, OFFENSIVE, OR INAPPROPRIATE TRANSLATIONS. YOU USE ALL TRANSLATIONS AT YOUR OWN RISK.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE APP AND YOUR RELIANCE ON ANY TRANSLATION IS AT YOUR SOLE RISK AND DISCRETION.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUPPLIERS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (1) The amount you paid to us for access to or use of the App in the twelve (12) months preceding the claim, or (2) One hundred U.S. dollars ($100).

15. Dispute Resolution

15.1 Informal Resolution

We encourage you to contact us directly at legal@itsbaba.com to resolve any concerns or disputes you may have. We will make good-faith efforts to resolve such issues amicably. You agree to attempt to resolve any dispute with us informally for at least thirty (30) days before initiating arbitration or any other legal proceeding.

15.3 Binding Arbitration (United States Users)

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

For users accessing the App from the United States, you and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

15.4 Class Action Waiver (United States Users)

YOU AND THE COMPANY AGREE THAT EACH MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

15.5 Opt-Out of Arbitration and Class Action Waiver (United States Users)

You have the right to opt out of the arbitration agreement and class action waiver. To opt out, you must notify us in writing within thirty (30) days of first accepting these Terms. Your opt-out notice must include:

A clear statement that you wish to opt out of the arbitration agreement
